The Wilson Group

Special Interest:
For the Board of Directors

Welcome to the section of the Wilson Group website that is dedicated to inquiries and information for members of Boards of Directors. With the many changes in regulatory and shareholder interests, you are indeed in a challenging situation. While your responsibilities for governance of your organization have not changed, the implications, consequences and personal risks have. We understand this situation and have worked with numerous organizations to help their boards to better fulfill their responsibilities.

We have provided below a number of links to specific elements of our website that should be useful you and your colleague Board members. We have established partnership relationships with other organizations that may also be of assistance to you or may compliment your existing relationship with advisory organizations (in legal, accounting, etc.). We hope you find this information helpful, and that you will contact us directly if you would like to explore how we may assist you.

There are three (3) principle areas where we assist Boards in fulfilling their responsibilities:

  1. Is the Board structured and staffed effectively to fulfill its governance responsibilities to the fullest?

  2. Is the Board operating in a manner that effectively utilizes the talent, experience and opinions of its members to maximize the effectiveness of its decisions?

  3. Are the structure, amount and policies of Board compensation consistent with the roles and responsibilities of its members and sufficient to attract and retain desired talent?

If the answer to any of these questions is “No”, then we may be able to provide the assistance you need to address these issues.

Our services include the following:

  • Assessment of the operating style, function and effectiveness of the Board as a team of talented individuals.

  • Market comparisons and development of effective total compensation plans, including fees or retainers, compensation for those in Board leadership roles, equity participation and other provisions for Board membership. (See: Board Compensation)

  • Assessment and counsel on the structure of the performance measures and level total compensation for the senior executives of the company. (See: Executive Compensation)

  • Assessment and identification of measures the Board can use to monitor the firm’s core performance and develop the process to monitor those actual metrics that “drive” the desired results.

  • Information, research studies, articles and case studies that you may also find helpful in assessing and developing a more effective Board of Directors. These are located in our Resources and Publications sections, and here are a few items of specific interest to sales and marketing executives:
